Our deal structures are designed to establish:

1 - Clear ownership - as ensuring our full responsibility is critical to:

  • Ensuring we have effective control to take the necessary actions; and

  • Managing vendor reputational risk

2 - Clear funding - since it is important to ensure there are no failures immediately following a transfer of control, we always need to ensure adequate funding is in place as part of transaction to enable take on / transformation / restructuring as required; and a

3 - Clear Offer - so current owners know what we bring to transactions:

  • An experienced team and known service providers

  • An established operational play book

  • A built in buy back option so if a disposal is due to stress / distress, the vendor has an option to reacquire once fixed; and

  • A built in anti-embarrassment provisions so the vendor has a share of any upside in the event of a successful early exit
